Our expertise

Company law

We advise companies and entrepreneurs in choosing the legal form that best suits their needs and in supporting them with all the legal issues in a company's life cycle.

Issues related to company law

  • Drafting contracts
  • Company foundations
  • Shareholders' meetings
  • Business decisions
  • Capital measures
  • Company succession
  • Strategic consulting
  • Design and implementation of codes of conduct as well as internal company compliance guidelines and structures
  • Disputes between the company, shareholders and executive bodies
  • Legal challenges

We value clear, practice-oriented concepts and solutions, but we also take on representation in the event of a contentious shareholder dispute or in matters related to director liability. Our clients can rely on the expertise of our long-standing partners in matters involving foreign countries, accounting and tax law, as well as issues related to criminal law.

Health law

The health care system is increasingly regulated by law, which creates both opportunities and risks for all service providers. Legal advice and representation require specialist knowledge and experience, as social and civil law issues often overlap. An understanding of the economic interests of the market participants is equally important. As specialists, we have been working for doctors, dentists, clinics, pharmacies and other service providers since the firm was founded.

Issues related to health law

  • Drafting and advising on the establishment of different medical cooperations, including medical care units, joint or group practices, or equipment sharing alliances.
  • Advice and representation in the context of disputes within medical cooperations
  • Drafting and advising on lease agreements for medical practices
  • Planning, management and support of practice succession in all social and civil law issues
  • Drafting of practice purchase agreements
  • Drafting and advising on intersectoral cooperation (e.g. outpatient surgery in hospitals, part-time employment/positions, etc.)
  • Out-of-court and judicial representation in fee disputes

We provide representation and advice in all matters relating to SHI accreditation, professional law, licensing law and hospital law. We develop legally secure and entrepreneurial solutions for our clients. Our in-depth specialist knowledge of medical and corporate law allows us to take a broad view on advising our clients on the planning and implementation of medical cooperation groups. So we can provide optimal support for typical projects, such as establishing or restructuring joint practices, medical care units and group practices or issues related to disputes or takeovers. Because we consider professional law, SHI accreditation and company law when drafting contracts, we prevent our clients from protracted legal disputes.

Energy law

Our energy sources and the ways they are used have changed rapidly as part of the ongoing energy revolution. The legal framework for the generation, distribution, trade and consumption of electricity, gas and heat has changed just as quickly. The liberalisation of the energy market, which started with the new Energy Industry Act of 1996, has significantly multiplied the number of market participants at all stages of the value chain.

Issues at the centre of our firm's energy management focus are

Decentralised energy generation, energy contracting

  • Energy generation plants on third-party land; leaseholds
  • Wind energy on leased land
  • Lease models

Energy service:

  • Lease agreements
  • Operation management contracts

Energy supply contracts

  • Full supply
  • Take-or-pay
  • Metering

Local distribution networks

  • Direct lines
  • Stub lines
  • Line contracting

Renewable energies

  • Rooftop models
  • Own generation
  • Electricity-intensive companies

General

  • Billing and collection
  • Insolvency of the energy customers

We have been involved in this change from the very beginning – providing support to young companies in the "liberalisation generation". Some of them have gained considerable size and stature. The entry of site network operators into the market of distribution networks on the “last mile” that is dominated by area suppliers was one subject of cartel proceedings that we initiated on behalf of a site network operator and successfully supported up to the “Mainova” judgement of the Federal Supreme Court. Since the early 1990s we have become renowned for legal concepts for innovative decentralised supply projects for industry and the housing sector.

Foundation law

Setting up a foundation is increasingly seen as positive way to invest private or company assets permanently – beyond our own lifetime. Personal reasons for specific purposes or tax advantages play an important role here. We show our clients the structuring options and legal forms available and the legal requirements to be observed.

Issues related to foundation law

  • Establishment of a foundation during one’s lifetime
  • Foundation heirs or legatees
  • Foundation charters
  • Foundation business
  • Supporting the establishment procedure with the foundation supervisory authority and the tax office
  • Non-profit status
  • Trust Foundation
  • Role of the board of directors, board of trustees/advisory board

We have comprehensive knowledge of foundation law and issues relating to non-profit status, as well as many years of practical experience as executors of wills, founders of foundations, board members and members of the board of trustees. We assist our clients with questions regarding the appropriate (recognised) purpose, the foundation assets required for long-term fulfilment and the best possible organisation.
